Hugh J. Bolton (Chair)
Hugh Bolton is the non-executive chair of the Board of Directors of EPCOR Utilities Inc. Prior to his appointment as chair of EPCOR Utilities on January 1, 2000, and after his retirement as chairman & chief executive partner of Coopers & Lybrand Canada, Chartered Accountants on January 1, 1998, Mr. Bolton continued as a financial consultant with PricewaterhouseCoopers until December 2000. Mr. Bolton is also the chair of the Board of Directors of Matrikon Inc., and a director of Canadian National Railway Company, Teck Cominco Limited, WestJet Airlines Ltd., Toronto Dominion Bank, and the Alberta Shock Trauma Air Rescue Society.
Mr. Bolton holds an undergraduate degree in economics from the University of Alberta. He is a chartered accountant and fellow of the Alberta Institute of Chartered Accountants.
In 2006, he received a Fellowship Award from the Institute of Corporate Directors.

Sheila C. Weatherill (Vice Chair)
Sheila Weatherill led one of Canada’s largest integrated, academic health systems – the former Capital Health Region in Edmonton, Alberta – as its president and chief executive officer from 1996-2008. She has extensive experience in both the delivery and administration of health services, and holds a nursing degree from the University of Alberta. Ms. Weatherill is active in community and professional organizations and serves on a number of local and national boards. In addition to the EPCOR board, she a is a board member of the Conference Board of Canada and the Institute for Health Economics, and is currently vice chair of the Canadian Institute for Health Information, and past president of the Association of Canadian Academic Healthcare Organizations. Sheila is also a past board member of the Edmonton YMCA.

Allister J. McPherson
Allister McPherson has served as executive vice president of Canadian Western Bank and was deputy provincial treasurer (Finance and Revenue) for the Province of Alberta from 1984-1996. He holds an M.Sc from the University of British Columbia.
Mr. McPherson is currently a member of the University of Alberta’s Investment Committee, chair of the Endowment Fund Policy Committee of Alberta Finance, chair of the Alberta Credit Union Deposit Guarantee Corporation, and a member of the Edmonton Regional Advisory Board of the Alberta Motor Association. He is a past director and vice chair of the Edmonton Regional Airports Authority and a past governor of NAIT. |

James E. Carter
James Carter is the former president and chief operating officer of Syncrude Canada. He retired from the company after 27 years, 20 of which were spent at the executive level. He has played a prominent role in the evolution of Syncrude, and the growth of Alberta's oils sands and the community of Fort McMurray.
Mr. Carter holds a Bachelor of Engineering Degree in Mining Engineering from the Technical University of Nova Scotia, and is a graduate of the Advanced Management Program at Harvard Graduate School of Business Administration. He is the recipient of an honourary doctorate in science from the University of Alberta, and a second in engineering from the Technical University of Nova Scotia.
Mr. Carter is the Chair of the Alberta Carbon Capture and Storage (CCS) Development Council, a partnership between governments, industry and scientific researchers responsible for developing a roadmap for implementing CCS technology in the province.
Mr. Carter’s many professional and community affiliations include: director and past chair, Mining Association of Canada, director, Finning International Inc.; and director, Alberta Research Council. |

Alex Davidson
Mr. Davidson has had a long and distinguished career with PricewaterhouseCoopers LLP, principally with the legacy firm Coopers & Lybrand. He held progressively more responsible positions through his 36-year tenure, including senior business assurance partner and national managing partner, Accounting and Audit. His career commenced in Toronto and included postings across Canada and in the United States.
Mr. Davidson is an honourary fellow of the Institute of Chartered Accountants of Ontario, and holds a Bachelor of Arts from the University of Western Ontario.

Ronald J. Liteplo
Ron Liteplo is currently president and chief executive officer of the Alberta Local Authorities Pension Plan Corp (“LAPP”). With over $15 billion under investment, LAPP is Canada’s 10th largest pension plan. Mr. Liteplo’s career started in private law practice in 1974, and he has been city solicitor and general manager of the City of Edmonton’s Corporate Services Department.
Mr. Liteplo holds Bachelor of Arts, Bachelor of Laws, and Master of Business Administration degrees from the University of Alberta. He is entitled to use the Chartered Financial Analyst designation. He is a member of the Law Society of Alberta and several other professional organizations, and serves on the board of the International Centre for Pension Management, Rotman School of Management at the University of Toronto, and the Edmonton YMCA Association. |

Steve E. Matyas
Steve Matyas is the president of STAPLES® Business DepotTM / Bureau en GrosMC. He has been instrumental in growing the company from one store to more than 300 across Canada since joining the Business Depot Ltd. as its first employee in 1991. He was appointed president in 2000.
Mr. Matyas previously held executive positions with Superpharm Ltd. and Shoppers Drug Mart Ltd., subsidiaries of Koffler Associates.
He is a graduate of the University of Toronto and studied business at Queen’s University, Massachusetts Institute of Technology, and Harvard University. He is a director and past chairman of the Retail Council of Canada; director of K-Bro Linens Income Trust; and serves on business faculty advisory councils at both the University of Alberta and Ryerson University.

Douglas H. Mitchell
Douglas H. Mitchell, Q.C., is presently national co-chairman and regional managing partner for Borden Ladner Gervais LLP in Calgary.
Mr. Mitchell graduated with a Bachelor of Law from the University of British Columbia after receiving a Bachelor of Arts in Business Administration from Colorado College. He serves on a number of corporate boards and community organizations. Mr. Mitchell is a director on the boards of Altalink L.P., Masters Energy, Inc., and UTS Energy Corporation; and a trustee of Northern Property Real Estate Investment Trust. |

Michael B. Percy
Dr. Michael Percy is dean of the University of Alberta’s School of Business. He is also a former member of the Legislative Assembly of the province of Alberta, serving from 1993-1997.
Dr. Percy received a Bachelor of Arts (Honours) degree from the University of Victoria, and a Master of Arts degree and a Doctoral Degree in Economics from Queen’s University. He is currently a director on the Boards of Matrikon, Timber Holdings, and K-Bro Linen Income Trust Fund. Dr. Percy is a past president of the Edmonton Chamber of Commerce, and has served on the Investment Advisory Board of the Workers’ Compensation Board of Alberta.

Robert L. Phillips
Robert Phillips was most recently president and chief executive officer of the BCR Group of Companies. He co-founded the Edmonton law firm Cruickshank Phillips, and has served in senior executive positions with Husky Oil, Dreco Energy Services, PTI Group, and MacMillan Bloedel Limited.
Mr. Phillips received degrees in Chemical Engineering, Business, and Law from the University of Alberta. He serves on the boards of several Canadian corporations, including Canadian Western Bank, Precision Drilling Corporation, West Fraser Timber Co. Ltd., and MacDonald, Dettwiler & Associates Ltd. |

Larry M. Pollock
Larry Pollock has been president and CEO of Canadian Western Bank since 1990 and Canadian Western Trust since 1996. He has past experience with Lloyds Bank in Toronto and Calgary, and the Industrial Acceptance Corporation. He served on EPCOR's Board from 1998 to 1999, and was reappointed in 2001.
Mr. Pollock graduated from the Saskatchewan Institute of Applied Arts & Sciences in Business Administration. He currently serves as a director for Canadian Western Bank and West Jet Airlines; and a trustee of the Canadian Helicopters Income Fund. |

Helen Sinclair
Helen Sinclair is founder and chief executive officer of BankWorks and its business television network (BCN.tv), and is a former president of the Canadian Bankers Association. She has also served as senior vice president, Planning and Legislation, at Scotiabank, and on the boards of a number of public policy and adjudicative bodies.
Ms. Sinclair is currently a director on the boards of the Toronto-Dominion Bank, Davis + Henderson, and the Canada Pension Plan Investment Fund. She holds an MA (Economics) from the University of Toronto and has completed the Advanced Management Program at the Harvard Business School. |

Wesley Twiss
Wesley Twiss is a director of Canadian Oil Sands Trust, Keyera Facilities Income Fund and Addax Petroleum Corporation and is the chair of the audit committee of each of these entities. He is also chair of EPCOR Utilities Inc.'s audit committee. Prior to becoming a corporate director, Mr. Twiss served as executive vice president and chief financial officer of two major Canadian energy companies -- PanCanadian Energy Corporation, which became part of Encana Corporation, and Petro-Canada.
Mr. Twiss holds a B.A.Sc. (Chemical Engineering) degree from the University of Toronto and an MBA from the University of Western Ontario. He is a graduate of the Directors Education Program of the Institute of Corporate Directors and holds the ICD.D designation.
Mr. Twiss is a director on the boards of Addax Petroleum Corporation, and Canadian Oil Sands Trust; and a director of the administrator of Keyera Facilities Income Fund.
